1. Acceptance of Terms
By placing an order with Maqabim Distributors Ltd., you agree to these Terms and Conditions. Please read them carefully.
2. Custom Product Orders
a. Definition: Custom products are defined as items specifically designed or manufactured to meet the unique specifications of the customer.
b. Order Confirmation: A confirmation of the custom order will be provided upon receipt of the specifications and payment details.
c. Payment Requirement: Custom products will not be shipped until the customer’s account is current.
3. General Product Orders
a. Definition: General products are standard items available for immediate sale without customization.
b. Shipping: General products will be shipped according to standard processing times, provided the account is in good standing.
4. Payment Allocation
a. Payment Towards Custom Orders: Any funds received towards a custom order will be automatically allocated to outstanding invoices in arrears before any funds are applied to the custom order.
b. Invoicing: Customers will receive invoices detailing outstanding amounts and the allocation of payments.
5. Account Status
a. Current Account: An account is considered current when all invoices are paid in full.
b. Payment Terms: Customers are responsible for ensuring their account remains current to avoid delays in shipping custom products.
6. Cancellation and Changes
a. Custom Orders: Once a custom order has been confirmed, it may not be canceled or modified without written consent from Maqabim Distributors Ltd.
b. General Orders: General product orders can be canceled or modified before shipment.
7. Liability
a. Limitation of Liability: Maqabim Distributors Ltd. is not liable for any indirect, incidental, or consequential damages arising from the sale of custom or general products.
8. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Manitoba.
9. Amendments
Maqabim Distributors Ltd. reserves the right to modify these Terms and Conditions at any time.
